These Terms of Service (“Terms”) govern your use of the Grovefund website and services (the “Service”) operated by Grovefund, a project of Adkins Labs, organized as a 501(c)(3) nonprofit (“Grovefund,” “we,” or “us”). By accessing the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old to create an account. To set up a child fund page, you must be the child's parent or legal guardian and have authority to provide consent on the child's behalf under applicable law (including COPPA). By creating a child fund page, you represent and warrant that you have this authority.
2. Accounts
You are responsible for keeping your password secure and for all activity under your account. Notify us immediately at legal@grovefund.org if you suspect unauthorized access.
3. Contributions Are Charitable Donations
All contributions made through the Service are voluntary charitable donations to Grovefund, held in a custodial arrangement for the benefit of the child whose fund you select. Donations are tax-deductible to the fullest extent allowed by law, subject to the disclosures at /legal/disclosures.
a. Restricted use
Fund balances are restricted to qualifying education expenses as defined on our Disclosures page (e.g., accredited tuition, approved tutoring, books, technology). Grovefund retains legal custody and discretion in determining approved expenses consistent with its 501(c)(3) charitable purpose.
b. Non-refundable
Because donations are made to a charitable organization, they are not refundable except as required by law. If you believe a donation was made in error, contact refunds@grovefund.org within 30 days.
c. Age of majority
Fund balances remain education-restricted regardless of the beneficiary's age. If the beneficiary has not used the balance for approved education expenses by age 30, the balance may be redistributed within Grovefund's cohort pool consistent with our charitable mission, upon notice to the originating account holder.
4. Brand Sponsorships
Corporate sponsorship applications are reviewed and approved at Grovefund's sole discretion. Approval does not create a legal or fiduciary relationship beyond the written sponsorship agreement. Grovefund reserves the right to decline or terminate sponsorships that conflict with our mission or donor community standards.
5. Prohibited Uses
You agree not to:
- Misrepresent a child's identity or your relationship to a child;
- Use the Service for money laundering, fraud, or circumvention of charitable purposes;
- Interfere with or disrupt the Service, including attempts to probe, scan, or test vulnerability;
- Scrape, harvest, or collect information about users without consent;
- Upload harmful code, viruses, or automated bots;
- Impersonate another person or misrepresent your affiliation;
- Use the Service to send unsolicited communications or spam;
- Use the Service in violation of applicable law.
6. Intellectual Property
All content on the Service — other than user-provided content — is owned by or licensed to Grovefund and protected by intellectual property laws. You may not copy, modify, or distribute our content without permission.
You retain ownership of content you submit (e.g., child bio text). By submitting content, you grant Grovefund a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content as necessary to operate the Service.
7. Disclaimers
501(c)(3) status pending. Grovefund has applied for IRS 501(c)(3) determination. Pending determination, donations are accepted under fiscal sponsorship. Tax deductibility is subject to IRS rules and our Disclosures.
Not investment advice. Grovefund is not an investment adviser, broker-dealer, or custodial brokerage. Fund balances are held as charitable trust assets, not as individual investment accounts.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GROVEFUND, ADKINS LABS, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100.
9. Indemnification
You agree to indemnify and hold Grovefund, Adkins Labs, and their officers, directors, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
10. Termination
We may suspend or terminate your account at any time for violation of these Terms or at our reasonable discretion. You may close your account at any time by emailing legal@grovefund.org. Donations made prior to termination remain subject to charitable trust restrictions.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.
Informal resolution first. Before filing any formal claim, you agree to contact us at legal@grovefund.org and try to resolve the dispute informally within 60 days.
Binding arbitration. Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in the State of Delaware. YOU AND GROVEFUND AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.
30-day opt-out. You may opt out of arbitration by emailing legal@grovefund.org within 30 days of first agreeing to these Terms.
12. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
13. Severability & Entire Agreement
If any provision is found unenforceable, the remainder remains in effect. These Terms, together with our Privacy Policy, Children's Privacy Policy, and Disclosures, constitute the entire agreement between you and Grovefund.
